Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "User", or "you") and Tensorix Ltd. ("Tensorix", "we", "us", or "our"), a company incorporated in Ireland (Company Number: 796387) with its registered office at Unit 25, Classon House, Dundrum Business Park, Dublin 14, Ireland.

1. Acceptance of Terms

By accessing or using our website, API, or related services (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Services & Access

2.1 Provision of Services. Tensorix provides AI inference infrastructure and related tools. We will use commercially reasonable efforts to make the Services available 24 hours a day, 7 days a week, except for planned downtime or force majeure events.

2.2 Account Registration. To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

2.3 EU AI Act Compliance. Tensorix operates as a provider of general-purpose AI models under the EU AI Act. We maintain technical documentation and comply with transparency obligations. You agree to use the Services in compliance with the EU AI Act, including not using the Services for prohibited AI practices (e.g., social scoring, real-time remote biometric identification in public spaces for law enforcement, except as permitted by law).

3. User Conduct & Acceptable Use

You agree not to use the Services to:

• Violate any applicable local, state, national, or international law or regulation, including the EU AI Act and GDPR.
• Generate or disseminate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Reverse engineer, decompile, or disassemble any aspect of the Services.
• Attempt to gain unauthorized access to the Services or related systems or networks.

4. Intellectual Property

4.1 Our IP. The Services, including their "look and feel" (e.g., text, graphics, images, logos), proprietary content, information and other materials, are protected under copyright, trademark and other intellectual property laws. You agree that Tensorix and/or its licensors own all right, title and interest in and to the Services (excluding Content provided by you).

4.2 Your Content. You retain all rights to the input data you submit to the Services ("Input") and the output generated ("Output"). Tensorix does not claim ownership of your Content.

4.3 Zero Retention. Consistent with our "Zero Retention" architecture, we do not store your Input or Output beyond the time necessary to generate the response, unless explicitly required by law or for debugging purposes initiated by you. We do not use your Content to train our models.

5. Fees & Payment

5.1 Fees. You agree to pay all fees in accordance with the pricing terms presented to you at the time of purchase. Fees are non-refundable except as required by law.

5.2 Taxes. You are responsible for all applicable taxes, including VAT, arising from or in connection with your use of the Services.

6. Limitation of Liability

6.1 Exclusion of Damages. To the maximum extent permitted by applicable law, in no event shall Tensorix be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses.

6.2 Liability Cap. To the maximum extent permitted by applicable law, Tensorix's total cumulative liability to you for any claims arising out of or relating to these Terms or your use of the Services shall not exceed the amount you paid to Tensorix during the twelve (12) months immediately preceding the event giving rise to the claim.

6.3 EU Consumer Rights. Nothing in these Terms affects statutory rights you may have as a consumer under EU law which cannot be excluded or limited by contract.

7. Indemnification

You agree to defend, indemnify and hold harmless Tensorix and its officers, directors, employees and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; or (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right.

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of Ireland to resolve any legal matter arising from these Terms.

9. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through our Services, or by other means, to provide you the opportunity to review the changes before they become effective. Your continued use of the Services after we publish or send a notice about our changes to these Terms means that you are consenting to the updated Terms.
